Terms of Service

1. Who we are

Vulnify is provided by [COMPANY LEGAL NAME], [TAX ID / CNPJ], [ADDRESS] ("Vulnify", "we"). By creating an account or using the service you agree to these Terms on behalf of yourself and the organization you represent ("Customer").

2. The service

Vulnify lets a Customer register AI agents, integrations and resources, evaluate agent actions with a risk engine and policies, route risky actions to human review, and keep an audit log, through a web app and an API. The service is in early access and is provided as available; features may change.

3. Accounts and API keys

• You must provide accurate information and keep credentials and API keys confidential.
• You are responsible for all activity under your account and keys. Notify us promptly of any compromise.
• You must be authorized to bind your organization.

4. Acceptable use

You will not: attempt to access other customers' data; probe, scan or test the service's security without our written permission; overload or disrupt the service; reverse engineer it except as allowed by law; use it to violate laws or third-party rights; or resell it without agreement.

5. Customer data

You retain all rights to the data you submit. You grant us a limited license to process it to provide and secure the service. Vulnify is designed to store action metadata (such as agent, action, resource, destination and record counts) and not the contents of your records; you agree not to send content you are not permitted to share. Our Privacy Policy explains how personal data is handled, and a Data Processing Agreement is available on request.

6. Decisions are an aid, not a guarantee

Risk scores, policies and decisions are automated and rule-based. Vulnify does not guarantee that every harmful action will be detected or blocked, or that no allowed action will be harmful. In monitor mode nothing is blocked. You remain responsible for your agents, your data and your compliance obligations, and for choosing fail-open or fail-closed behavior and for the decisions of your human reviewers.

7. Fees

Paid plans, if any, are described on the pricing page or an order form. Fees are [BILLING TERMS: monthly/annual in advance, non-refundable except as required by law], exclusive of taxes. During early access, plans may be offered free or at preview prices.

8. Intellectual property

Vulnify and its software, design and documentation remain our property. We grant you a non-exclusive, non-transferable right to use the service during the term. Feedback you give may be used by us without restriction.

9. Confidentiality

Each party will protect the other's non-public information with reasonable care and use it only to perform under these Terms.

10. Availability and support

We aim for reliable service but do not promise uninterrupted operation during early access. Any uptime commitment will be stated in a separate written SLA.

11. Warranty disclaimer

To the maximum extent permitted by law, the service is provided "as is" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement.

12. Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special or consequential damages, or lost profits or data, and our total liability is limited to the fees paid by Customer in the [12] months before the claim [or AMOUNT if free]. Nothing limits liability that cannot be limited by law.

13. Term and termination

You may stop using the service at any time. We may suspend or terminate access for breach, security risk or non-payment. On termination you may export your data for [30] days, after which we delete it, subject to legal retention duties.

14. Changes

We may update these Terms; material changes will be notified by email or in the app. Continued use after the effective date means acceptance.

15. Governing law

These Terms are governed by the laws of [BRAZIL / JURISDICTION], and the courts of [CITY, STATE] have jurisdiction, without prejudice to mandatory consumer rules.
